The Audit, Conflicts and Governance Committee of our general partner's Board of Directors is comprised of the three independent members of the Board. The Committee is appointed by the Board to assist the Board in fulfilling its oversight responsibilities. The Committee's primary duties and responsibilities are to monitor the integrity of the financial reporting process and systems of internal controls regarding finance, accounting and internal auditing; monitor the independence and performance of our independent auditors and internal auditing department; provide an avenue of communication among the independent auditors, management, the internal auditing department and the Board of Directors; report to the Board of Directors as to significant matters discussed at the meetings of the Committee; encourage adherence to, and continuous improvement of, the Company's financial reporting policies, procedures, and practices at all levels and such other policies, procedures and practices as the Committee, in its discretion, deems appropriate; and review areas of potential significant financial risk to the Company.
